Utility Telephone Files to Acquire US Telestar Communications

U.S. Telestar Communications Group, Inc. and Utility Telephone, Inc., filed an application pursuant to section 63.03 of the Commission’s rules for the acquisition of Telestar’s telecommunications customer base and related assets by UTI.

Telestar, a California corporation, provides resold domestic interexchange telecommunications services to a small number of commercial customers in California.  The following individuals, all U.S. citizens, directly hold 10% or greater ownership or control interests in Telestar:  Timothy Swift (33 percent); Gene W. Harris, Jr. (33 percent); and Edward Wiebe (33 percent).

UTI, also a California corporation, provides facilities-based local exchange, exchange access, and domestic interexchange telephone services in California and Nevada. The following U.S. citizens and entities directly hold 10% or greater ownership or control interests in UTI:  Jason Mills (54 percent), and the John K. and Dianne B. La Rue Revocable Trust (La Rue Trust) (46 percent).  The La Rue Trust is owned and controlled jointly by John K. La Rue and Dianne B. La Rue, both U.S. citizens, who each hold a 46 percent indirect ownership interest in UTI.  There are no other persons who directly or indirectly own, control, or can be attributed with ownership or control of a 10% or greater ownership or control interest in either Applicant.

Telestar and UTI have entered into an asset purchase agreement providing for the transfer of Telestar’s customer base and associated assets to UTI in exchange for cash.

PAETEC Approves Windstream Deal

PAETEC Holding Corp. (Nasdaq:PAET) announced that at the special meeting of PAETEC stockholders, stockholders voted overwhelmingly to approve the proposed merger with Windstream Corporation (Nasdaq: WIN). Approximately 99% of the shares voting at the special meeting of stockholders voted in favor of the adoption of the merger agreement, which represented approximately 81% of PAETEC's total outstanding shares of common stock as of the September 12, 2011 record date for the special meeting.

Upon completion of the merger, PAETEC stockholders will receive 0.460 shares of Windstream common stock for each share of PAETEC common stock they own as of the effective time of the merger. The companies continue to expect the merger to be completed by December 31, 2011, following the satisfaction or waiver of all conditions to the merger.

Utility Telephone to Acquire Great Basin Internet Services

Utility Telephone, Inc. has confirmed that they have entered into a definitive agreement to acquire the customer base and network assets of Reno-based Internet and VoIP provider, Great Basin Internet Services, Inc. (GBIS).

Under the terms of the acquisition, expected to close within the next sixty (60) days, Utility Telephone will acquire 2,700 retail customers throughout Northern Nevada and Eastern California markets, and will add a substantial footprint to Utility Telephone’s existing Nevada network which includes a 2.5 gigabit-per-second fiber-optic network linking Reno, Carson City and Fernley.

GBIS’s customer base will now be offered new services, such as MPLS, and long-distance products, in addition to customer-premise equipment.

TelePacific Completes Acquisition of Tel West

U.S. TelePacific Corp., which does business as TelePacific Communications, a communications and network services company, announced it has completed the acquisition of Tel West Network Services Corporation, headquartered in Austin, Texas.

The acquisition instantly gives TelePacific a strong presence in Texas, the fastest-growing small and medium business market in the nation. TelePacific also gains 3,600 business accounts and a fiber network serving six metropolitan areas.

TelePacific, whose largest shareholders are private equity investors, has completed eight highly accretive acquisitions since 2002. The addition of Texas to TelePacific's California and Nevada service footprint positions the telecommunications provider to cover approximately 20% of the small and medium businesses in the country.

Birch Completes Acquisition of Cordia U.S. CLEC Assets

Birch Communications, an IP-based telecommunications and managed services provider for small- and medium-sized businesses, announced that it has completed its acquisition of the U.S. CLEC assets of Cordia Communications Corp., a competitive local exchange carrier based in Orlando, Fla. Included in this asset acquisition are approximately 55,000 business, residential, broadband, long-distance access lines across 24 states as well as the related accounts receivable.
