FairPoint Completes Merger With Verizon's Wireline Operations in NH, VT, ME

FairPoint Communications (NYSE:FRP) has closed its previously announced transaction in which FairPoint merged with Northern New England Spinco Inc. (Spinco), an entity which owned Verizon Communications’ (NYSE:VZ) landline and certain related operations in Maine, New Hampshire and Vermont. FairPoint is the surviving company in the merger.

As a result of the transaction closing, FairPoint is now the eighth largest telephone company in the United States with operations throughout the country. FairPoint remains committed to enhancing and expanding the communications networks and infrastructures that serve the company’s customer base, while ensuring that it maintains an appropriate and serviceable debt level and returns value to shareholders through dividends.

On a combined pro forma basis as of December 31, 2007, FairPoint has approximately 1,906,748 total access line equivalents which includes 1,110,722 residential voice access lines; 505,449 business voice access lines; and 290,577 HSD subscribers, including DSL, cable modem and wireless broadband.

In connection with the merger, Verizon received a $1.16 billion cash payment from Spinco and $551 million of 13 1/8% senior notes due in 2018 issued by Spinco, and Verizon's stockholders received approximately 54 million shares of FairPoint's common stock. In total, this results in FairPoint total senior secured debt of $1.635 billion, senior notes of $551 million and total shares outstanding of approximately 89 million.

Alaska Communications Systems Wins GSA Contract

Alaska Communications Systems Group ("ACS") (Nasdaq:ALSK) announced a six-year contractual agreement with the U.S. General Services Administration (GSA), to provide all voice and data services to federal agencies throughout Alaska. This is the third GSA contract awarded to ACS in the last three years.

"We are excited that ACS has the opportunity to expand on the twenty-year relationship with GSA, and to serve the federal agencies that do business in Alaska," said Sheldon Fisher, senior vp of sales and service.

Under the multi-year contract, ACS will provide all voice services, local private lines, Metro Ethernet and a variety of Internet solutions -- supporting 200 federal agency offices across Alaska. This follows another multi-year contract awarded to ACS in 2005 for GSA local phone service in Anchorage and Juneau, modified later to include Kodiak, and an additional contract granted in October 2007, allowing ACS to provide wireless phone service to federal agencies statewide.

SureWest Launches Nationwide Remote Monitoring Service

SureWest Communications (NASDAQ:SURW) announced the launch of SureWest Remote Monitoring, a service that allows customers to control and monitor devices in their home from anywhere in the world through computers or wireless devices, including compatible cell phones and PDAs.

Enabling people to stay close to the things they value most, SureWest Remote Monitoring can be programmed to deliver live or recorded video and still images, as well as sensor notifications for things such as motion, door and window activity, water leakage and temperature change. Additionally, consumers can be more environmentally conscious by controlling the energy usage of appliances in their everyday residence, a business location or a vacation home.

Fairpoint Reaches Tentative Agreement With IBEW & CWA Unions

FairPoint Communications (NYSE:FRP) has announced it has reached tentative agreements with the T-9 Council of the International Brotherhood of Electrical Workers (IBEW) and Communications Workers of America (CWA), the two unions representing the approximately 2,500 employees who will be continuing employment after FairPoint’s acquisition of Verizon Communications’ (NYSE:VZ) landline and certain related operations in Maine, New Hampshire and Vermont. The transaction is expected to close on March 31, 2008.

All parties involved in the negotiations were able to come to acceptable terms on a number of key provisions, including wage and pension increases for active employees, healthcare benefits for active employees and retirees, and 401(k) improvements.

"This long-term agreement is a big step in alleviating the apprehension of our membership in changing companies. Now that this is out of the way, we can concentrate on making the transition in the three northern states as seamless as possible for our customers," said Peter McLaughlin, chairman of IBEW SCT-9.

"CWA is very pleased with the agreement we’ve been able to work out with FairPoint," said Chris Shelton, District 1 vice president. "We know the members we represent are the best in the world at what they do. With their experience and expertise and FairPoint’s commitment to improving service to Maine, New Hampshire and Vermont, the future looks bright for telecommunication in northern New England."

Both agreements are subject to ratification by the respective union’s membership.

Qwest and CWA Announce Voluntary Separation Program Offer

Qwest Communications International (NYSE:Q) and the Communications Workers of America have agreed to a voluntary separation program to be offered to certain employees in Qwest’s traditional local telephone business.

The program, which offers financial incentives based on years of service, would impact less than 2 percent of the company’s total work force. The program offer is expected to be completed March 27.

“Over the years, we have turned first to our natural attrition rate to balance the loss of traditional access lines,” said Bob Tregemba, Qwest’s executive vice president of Network Operations. “This program is part of our continuing effort to match our workforce to our work load.”

"We are always saddened by the loss of even one job, but the continued loss of access lines is a reality of the entire industry," said Reed Roberts, Administrative Director to Vice President of CWA District 7. "With that in mind we are pleased that we were able to reach agreement with Qwest on a viable solution that addresses the reality of the marketplace and provides a voluntary opportunity for those of our members who were considering either retirement or moving to other endeavors."

The company is committed to maintaining exceptional customer service levels and is proceeding with its broadband deployment plans, including fiber-to-the-node buildout.
