ACS Completes Acquisition of Crest Communications Corporation

Alaska Communications Systems Group (Nasdaq:ALSK, "ACS") has announced that it has completed the acquisition of Crest Communications Corp. This $70m transaction brings into the ACS asset portfolio the Northstar undersea fiber optic cable and a robust backhaul network linking the cable's landing station on the Oregon coast to both Portland and Seattle.

ACS announced in April that it intended to purchase Crest as part of its expansion into the Enterprise market. The acquisition of Crest brings with it a team experienced in servicing undersea systems and an established base of Enterprise customers including several who utilize the Northstar cable landing station and diverse transport facilities in the Pacific Northwest. In addition to acquiring Northstar, the Company is completing its build of a geographically distinct, state-of-the-art fiber optic cable, the Alaska Oregon Network (AKORN). The cable is laid, is currently in testing and will be ready for commercial launch, on plan, in early 2009.

Lightower Finalizes Acquisition of KeySpan Communications

Lightower Fiber LLC, a leading provider of digital fiber optic networks, announced today that it has acquired KeySpan Communications Corp. (“KeySpan Comm”), expanding the company’s fiber optic network offerings extensively in New York City and Long Island and gaining KeySpan Comm’s capacity  rights in three Trans-Atlantic cable systems.

Lightower Fiber’s assets cover over 3,600 route miles from Albany, NY to Long Island, including the metro areas of Boston, MA, New York, NY, Providence, RI as well as key routes in northern New Jersey and southern Connecticut.

“With the acquisition of KeySpan Comm finalized, Lightower Fiber is better prepared than ever to help our customers manage the growing pressure to increase capacity and decrease backhaul costs,” said Rob Shanahan, CEO of Lightower Fiber.  “Combining KeySpan Comm’s fiber assets with our existing fiber network, which includes the recent acquisition of DataNet Communications Group, establishes a unique Northeast footprint and positions us to be able to meet these needs.  We are prepared to continue our growth strategy through potential acquisitions and organic growth.”

Lightower Fiber will also receive KeySpan Comm’s capacity rights in three Trans-Atlantic cable systems from New York to Paris and London.  With the addition of KeySpan Comm’s network, Lightower Fiber will offer unique fiber optic links between the Trans-Atlantic landing stations and points outside of New York City using routes diverse from Manhattan.

ACS to Acquire Crest Communications Corporation

Alaska Communications Systems Group ("ACS") (Nasdaq:ALSK) announced that it has entered into an agreement to purchase Crest Communications Corporation ("Crest"), owner and operator of the North Star submarine fiber-optic cable, one of three existing submarine fibers connecting Alaska to the continental United States. ACS is acquiring Crest, free of debt, for a cash consideration of approximately $70 million. The transaction, which is subject to various closing conditions, as well as federal and state regulatory approval, is expected to close in the second half of 2008.

"This acquisition tightly complements our new fiber build, the Alaska Oregon Network (AKORN), by providing meaningful operating efficiencies and cost synergies; offering Enterprise customers the only diverse and redundant routing of traffic between Alaska and the Lower 48 from a single carrier; enabling traffic management via Network Operations Control Centers in Alaska and the Lower 48; and connecting to Southeast Alaska on the way to the Lower 48," said Liane Pelletier, ACS president, ceo and chair. "The acquisition will also drive further utilization of ACS' differentiated Alaska terrestrial assets from Crest's customer base; and allow ACS to participate in the fast-growing bandwidth market ahead of AKORN's turn up date of Q109."

ACS expects the acquisition will provide it with a new source of cash flows: $11 million in annual recurring revenue; an EBITDA contribution from recurring revenue of $3 million annually; and additional non-recurring IRU sales that have averaged approximately $9 million per annum.

Crest's system includes an undersea fiber system of approximately 1,900 miles with cable landing facilities in Whittier, Juneau, and Valdez, Alaska, and Nedonna Beach, Oregon. The system also includes terrestrial transport components linking Nedonna Beach, Oregon to a Network Operations Control Center in Hillsboro, Oregon and collocation facilities in Portland, Oregon and Seattle, Washington. Crest has 18 employees responsible for its network, sales, regulatory compliance, and administration.

ACS expects the Crest acquisition to provide cost synergies of approximately $1 million per annum in operating expenses for AKORN. ACS plans to fund a substantial portion of the purchase price from cash on hand, cash flow from operations and by drawing up to $20 million on its existing revolving credit facility.

Lightower Closes DataNet Deal, To Acquire Keyspan Communications

Lightower Fiber, LLC, a provider of digital fiber optic networks, announced today that it will acquire 100 percent of the outstanding shares of DataNet Communications Group, Inc. (“DataNet”).  It has also entered into an agreement to acquire KeySpan Communications (“KeySpan Comm”), expanding the company’s fiber optic network offerings throughout the Northeast.  With the addition of DataNet and KeySpan Communications’ fiber assets, Lightower Fiber more than triples its available route miles.

The consolidation of assets will extend Lightower Fiber’s network availability to over 3,600 route miles connecting Boston, Albany, Manhattan and Providence.  Customers will benefit from DataNet’s 1,600 route miles throughout New York State’s Hudson Valley region including service to communities in New Jersey and Connecticut and KeySpan Comm’s 1,000 route miles throughout New York City and Long Island, where the network covers both Suffolk and Nassau Counties.  This extensive fiber network footprint now reaches key routes in Orange, Westchester and Rockland Counties in NY, Bergen County, NJ and Fairfield County, CT.

Lightower Fiber will also receive the rights to capacity in KeySpan Comm’s three Trans-Atlantic cable systems from New York to Paris and London.  With the addition of KeySpan Comm’s network, Lightower Fiber will offer unique fiber optic links between the Trans-Atlantic landing stations and points outside of New York City using routes diverse from Manhattan.
