Frontier Takes Next Steps in Completing AT&T; Wireline Buy

Frontier Files For Federal and State Regulatory Approvals

On February 3, 2014, Frontier Communications announced that it has filed applications with the FCC and the Connecticut Public Utilities Regulatory Authority as part of its agreement with AT&T to acquire AT&T's local wireline, broadband and video operations in Connecticut. Frontier also said it will file an application with the U.S. Department of Justice seeking approval of its application to acquire these operations.

Frontier previously announced on December 17, 2013, that it will acquire approximately 415,000 data, 900,000 voice, and 180,000 video residential connections of AT&T in Connecticut, as well as AT&T's local business connections and existing carrier wholesale relationships.

Frontier will pay $2 billion in cash for AT&T Connecticut. The business will be transferred on a debt-free basis. Frontier expects to close the acquisition in the second half of 2014.

With System Conversions Complete, Frontier Focuses on Broadband

Frontier Communications Corporation (Nasdaq:FTR) reported first-quarter 2012 revenue of $1,268.1 million, operating income of $208.5 million and net income attributable to common shareholders of Frontier of $26.8 million, or $0.03 per share. Excluding $35.1 million for integration costs and $6.5 million for severance and early retirement costs, net income attributable to common shareholders of Frontier for the first quarter of 2012 would have been $52.5 million, or $0.05 per share.

At March 31, 2012, the Frontier had 3,038,900 residential customers and 302,100 business customers. The company grew its broadband customers by 11,700 during the first quarter of 2012. The company had 1,775,900 broadband customers at March 31, 2012. The company had net additions of 4,400 video customers during the first quarter of 2012, which includes 9,200 net additions of satellite TV customers and a net loss of 4,800 FiOS video customers. Frontier had 561,900 video customers at March 31, 2012.

Frontier Names Bob Johnson Midwest President and Call Center Head

Frontier Communications Corporation (Nasdaq:FTR) has announced that Robert H. Johnson has joined the company as Area President of its Midwest Region (comprising all operations in Michigan and Indiana) and as head of its call centers for business, residential and Operator Services. In addition, he is responsible for four U.S.-based vendor centers focused on residential operations and the company's Work-at-Home program. Bob Johnson is based in Fort Wayne, Indiana and reports directly to Daniel J. McCarthy, President and Chief Operating Officer of Frontier.

Most recently, Johnson was President-Consumer at Sprint Nextel Corporation, with P&L responsibility for that company's largest business unit. As an officer, he played a key role in a critical turnaround stage focusing on marketing, sales distribution and customer retention. Among his many accomplishments were improvements in net new subscribers, customer retention, churn reduction and brand preference.

JDSU and Frontier Collaborate to Deliver Broadband Service to Rural Areas

JDSU announced it is working with Frontier Communications to deliver high-speed broadband communications services to rural communities throughout West Virginia. JDSU said it is partnering with Frontier as they extend fiber-optic, next-generation broadband throughout West Virginia. Frontier’s Fiber 7.0 implements 13 connected rings throughout the state which provide greater quality in its consistency and reliability of service.

“The benefits of providing broadband services in rural areas are enormous. From a business perspective, from an education perspective and from an entertainment perspective, connecting small, rural areas to the global marketplace changes the nature of the U.S. economy,” said David Heard, president of JDSU’s Communications Test and Measurement business segment.

Frontier Communications Promotes Daniel McCarthy to President

Frontier Communications Corporation (Nasdaq:FTR) announced the promotion of Daniel J. McCarthy to President of the company. McCarthy retains the title of Chief Operating Officer (COO) and reports directly to Maggie Wilderotter, Chairman and Chief Executive Officer.

McCarthy joined the company in 1990 and has been Executive Vice President and COO since January 1, 2006, responsible for all operations, networks and technology throughout Frontier's 27-state footprint. He played a critical role in the July 2010 transaction that tripled Frontier's size and employee base.
