Verizon Announces Agreement To Acquire Vodafone’s 45 Percent Stake in VZW

 On Monday, September 2nd, Verizon Communications Inc. (NYSE: VZ) announced that it had entered into an agreement with Vodafone Group Plc (NASDAQ: VOD), to acquire Vodafone’s 45 percent stake in Verizon Wireless for $130.0 billion.  Once the transaction closes, Verizon Communications will have 100% ownership of Verizon Wireless.

Transaction Facts

  • The acquisition will be financed through cash, Verizon common stock, and other items.
  • $58.9 billion will be in the form of cash, $60.2 billion through stock, $5.0 billion in notes payable, $3.5 billion through the sale of Verizon’s 23.1 percent stake in Vodafone Omnitel N.V. to Vodafone, and the remaining $2.5 billion will come in the form of other items.
  • Transaction is expected to close by Q1 2014.

  • Compared to priced deals in the wireless industry since the middle of 2009, Verizon Communications paid higher multiples in the transaction.
  • The average EV/TTM Revenue from mid-2009 to the end of 2013 was approximately 1.6x, compared to the Verizon-Vodafone transaction multiple of 3.7x.
  • Since mid-2009 to the end of 2013, the average EV/TTM OIBDA was approximately 7.4x, which was 1.7x higher in the transaction.

Verizon Wireless and Color Intro Live Video Sharing on Facebook

Verizon Wireless announced that customers can use their smartphones to share live video broadcasts with their Facebook friends using Color for Facebook, a free social camera application, the companies announced.

Friends and fans receive a notification on their devices when one of their friends starts broadcasting live video and audio. Concerts, sporting events, road trips and other special moments can all be shared live.

Verizon Wireless customers can dial “**COLOR” to download the app, or download it from a number of app stores. The app is free, and other charges will apply according to a customer’s data package.

Verizon Wireless Launches HomeFusion Broadband Service Nationwide

Verizon Wireless announced that HomeFusion Broadband, a service that provides high-speed in-home Internet access through Verizon's 4G LTE network, will be available throughout the country starting Thursday, May 3.

HomeFusion Broadband offers customers a reliable alternative for residential broadband, especially in areas with limited broadband choices. It provides connectivity for a wide range of devices, including computers and gaming consoles, using the Verizon 4G LTE network, which is now available in 230 markets covering more than two-thirds of the population in the United States.

HomeFusion Broadband uses a professionally installed, cylinder-shaped antenna attached to a customer's home. The antenna's design includes multiple internal antennae, allowing the device to pick up the best Verizon 4G LTE signal available and transmit it to a broadband router inside the home. The router can connect up to four wired and at least 20 wireless devices inside the home using Wi-Fi.

HomeFusion Broadband is $60 a month for 10 GB of data, $90 a month for 20 GB or $120 a month for 30 GB ($10 per GB after allowance). A one-time equipment fee of $199.99 applies and installation is free. Customers get 50 percent more data allowance for the first two full billing cycles of service.

Verizon Wireless Teams With Comcast to Bundle Services in More Markets

Verizon Wireless and Comcast announced they will offer each other’s services in Salt Lake City, Atlanta, Chicago, Denver, Kansas City, Mo., and Minneapolis-St. Paul, Minn. Earlier this year, Verizon Wireless and Comcast launched in Portland, Ore.; San Francisco; and Seattle.

Depending on the package chosen, new and existing customers of both Comcast and Verizon Wireless could qualify for a variety of offers and incentives including Visa prepaid cards valued between $50 and $300. Or possibly a “double your data package” offer consisting of a complementary 12-month upgrade to Blast!, the Xfinity Internet service that provides download speeds of up to 30 Mbps with PowerBoost; and a doubling of a 4G LTE data plan from Verizon Wireless.

Pioneer Cellular Announces Launch of 4G LTE

Pioneer Cellular, as a participant in the Verizon Wireless LTE in Rural America (LRA) program, announced the official launch of 4G LTE service in Phase I of the Pioneer Cellular LRA coverage area. The initial Phase I LTE area encompasses 8 counties in central and western Oklahoma located adjacent to the Oklahoma City metropolitan area.

The expanded 4G coverage is now available in the communities of Kingfisher, Okarche, Hennessey, Thomas, Watonga, and in southern and eastern Garfield County. Within the next few weeks, additional 4G coverage will include the cities of Enid, Weatherford and Clinton, along with 4G LTE coverage on Interstate-40 West from Oklahoma City to the Clinton area.

As a participant in the Verizon Wireless LRA Program, Pioneer Cellular will construct and launch a 4G LTE network in the rural counties and communities of western and southern Oklahoma over the next 10 months. Once fully completed, Pioneer’s 4G LTE network will cover more than 260,000 people in 21 counties across nearly 17,000 miles of central, western and southern Oklahoma.
