Lightower Announces Merger with Fibertech

On Monday, April 27th, Lightower Fiber Networks announced that they have agreed to merge with Fibertech Networks.  The transaction is an all cash deal for $1.9 billion funded with a mixture of debt and equity and is expected to close in Q3 2015.  The merger will allow the two companies to serve more locations, while being able to offer more service options to customers.

  • Both companies offer fiber-based services such as Ethernet, dark fiber, wavelengths, Internet access, private networks and colocation services, which makes for a natural fit.

The Gores Group Doubles Down on Fiber with New Buy

Los Angeles-based private equity firm The Gores Group has made a deal to purchase fiber network and data center operator, Alpheus. The Gores Group will acquire Texas-based Alpheus’ extensive fiber network that consists of 2,800 long haul fiber route miles and 3,250 metro route miles that expands to all the major Texas markets.  The firm also owns First Communications which owns fiber networks in the Mid Atlantic and Midwest. Fibertech Networks Expands New Jersey Network

Fibertech Networks, a regional provider of fiber optic bandwidth services, announced it is expanding its existing network footprint in Central and Southern New Jersey by more than 700 route miles. The expansion is due to recently signed agreements with major wireless carriers, Fortune 100 financial institutions, and a prominent healthcare system in the area. The new network expansion is expected to be complete by year-end 2011.

The new routes encompass a diverse fiber optic connection from Philadelphia to Atlantic City, a unique path from Trenton to Perth Amboy, and will further develop the company’s existing density throughout New Jersey. Local businesses in the area will have new broadband choices with these direct, end-to-end fiber optic connections.

With these new miles, Fibertech will have in place a continuous, company-owned and operated fiber network extending from Springfield, MA, to northern Maryland, bringing the company’s total fiber assets across the mid-Atlantic and New England regions to more than 4,000 route miles.

In addition to its Southern NJ/Philadelphia market, the company has networks operational in 21 additional markets including Northern NJ; Bridgeport, Hartford, New Haven, New London, Norwalk and Stamford, CT; Providence, RI; Columbus, OH; Pittsburgh; Syracuse, Rochester, Buffalo, Binghamton, White Plains and Albany, NY; Montgomery County, MD; Wilmington, Del.; Indianapolis; and Worcester and Springfield, MA.

Court Square Completes Fibertech Acquisition

Court Square Capital Partners, a private equity firm, announced today the successful closing on the acquisition of Fibertech Networks, a regional provider of fiber optic bandwidth services. Court Square has acquired controlling interest in the company from Nautic Partners and Ridgemont Equity Partners. The closing was finalized November 30, 2010.

Fibertech, headquartered in Rochester, NY, is a provider of fiber-optic based network services throughout mid-size cities in the Eastern and Central regions of the U.S. The company recently surpassed more than $1b in total sales contracts sold since its inception in May 2000. In addition, Fibertech has built wholly-owned networks spanning more than 6,000 route miles and 600,000 fiber miles.

This transaction was financed through a combination of equity contributed by investment funds managed by Court Square, as well as investment by the senior management of Fibertech. It also includes a senior debt facility in the amount of $270m led by Toronto Dominion Securities and lead syndication agent M&T Bank.

Court Square Capital Gets Approval for Fibertech Deal

The Wireline Competition Bureau has granted the application listed in this notice pursuant to the Commission’s streamlined procedures for domestic section 214 transfer of control applications, 47 C.F.R. § 63.03.  The Bureau has determined that grant of this application serves the public interest. For purposes of computation of time when filing a petition for reconsideration or application for review, or for judicial review of the Commission’s decision, the date of “public notice” shall be the release date of this notice.
