ShoreTel Acquires M5 Networks for $160 Million

ShoreTel Inc. (Nasdaq:SHOR), a provider of IP phone systems with fully integrated unified communications (UC), announced it has signed a definitive agreement to acquire M5 Networks, a provider of hosted Unified Communications.

Under the terms of the definitive agreement, M5 shareholders will receive approximately $84 million in cash and 9.5 million shares of ShoreTel stock, which equates to a total of $146.3 million in initial consideration based on a ShoreTel’s average stock price over the prior 30 trading days. In addition, M5 shareholders may receive additional contingent consideration of up to $13.7 million. The contingent payments are payable over the two years after closing and are based upon the achievement of certain revenue performance milestones for the year ended Dec. 31, 2012.

The acquisition of privately held M5 enables ShoreTel to expand its solutions into the cloud and reach a large and growing market segment of customers that are looking to deploy IP communications through a hosted model.

M5 pioneered hosted UC in 2000 and today provides more than 2,000 companies with enterprise-grade communications on a subscription basis.

ShoreTel and Windstream Announce Expanded Distribution Agreement

ShoreTel (Nasdaq:SHOR), the leading provider of IP phone systems with fully integrated unified communications (UC) and contact center capabilities, announced an expanded distribution agreement with Windstream (Nasdaq:WIN).  Windstream is now able to offer its business customers ShoreTel’s complete solution set, including ShoreTel Unified Communications, ShoreTel Contact Center and ShoreTel Mobility.

After a six-month market trial in Atlanta, Ga.; Greenville, S.C.; Orlando, Fla.; Kansas City, Mo.; St. Louis, Mo.; and Tulsa, Okla., Windstream is expanding the offering of ShoreTel solutions to business customers across Windstream’s 29-state footprint. This expansion of ShoreTel is in line with Windstream’s goal to provide advanced technology solutions to businesses of all sizes.

ShoreTel Acquires Agito Networks

ShoreTel (Nasdaq:SHOR), a provider of IP phone systems with fully integrated unified communications (UC), today announced it has acquired Agito Networks, a provider of platform-agnostic enterprise mobility, for approximately $11.4m.

The transaction further strengthens ShoreTel’s cost-saving proposition by reducing mobile and long distance costs and allowing business to use smartphones as PBX extensions. Enterprises of all sizes are seeing a growing segment of their workforce elect smartphones as their primary communications device of choice. With the Agito solution, ShoreTel will offer native support for leading smartphones and tablets including BlackBerry, iPhone, iPad, Nokia, and Windows-Mobile smartphones, reducing integration complexities for enterprise IT — a first in the area of enterprise mobility.
