Otelco Acquires Maine-Based Cloud Provider Reliable Networks

Otelco Grows Maine Offerings with IP Services Acquisition

January 6, 2014, Otelco announced that it has acquired Portland, Maine-based Reliable Networks, a provider of cloud hosting and managed services.
 
Otelco paid $500,000 at the closing of the acquisition. The balance of the purchase price will be paid in stock over the next three years, contingent on Reliable Networks achieving certain financial objectives. The acquisition will provide Otelco with additional managed service capabilities that will supplement the growth of existing IP services while expanding its current market presence. Reliable Networks will operate as a division of OTT Communications, Otelco’s New England competitive operating entity.

Turnkey Internet Acquires Kansas City-Based ISP KCNet

IT solutions provider Turnkey Internet announced their acquisition of KCNet, Inc. in Kansas City, Missouri. KCNet, Inc. is a full service ISP specializing in commercial web hosting services, dial-up and both business and residential high speed broadband internet connectivity. With this acquisition, Turnkey Internet can now offer their Cloud Based IT Solutions to the Kansas City market under the KCNet, Inc. name. This will expand KCNet, Inc.’s offerings to include advanced cloud services.

KCNet, Inc. has been developing a client base in the Kansas City market since 1995 and has clients in both Kansas City, Missouri and Kansas City, Kansas. By utilizing Turnkey Internet’s state-of-the-art data center, KCNet, Inc.’s customers will immediately receive upgraded technology and services at no additional cost.

Effective February 1, 2012, 25GB of Turnkey Mail, Voxwire Web Conferencing and 5GB of Turnkey Vault personal Backup Space will be available to KCNet, Inc.’s customers FREE. Kansas City, Missouri is the site selected in 2011 by Google as its new premier gigabit to the Premise roll out.

Turnkey Internet targeted KCNet, Inc. because of its position as the premier regional Internet Service Provider and plan to leverage its advanced Cloud Services over the new one-gigabit Google Fiber network. This further expands Turnkey Internet’s ability to provide their Cloud Based IT Solutions at upload and download speeds roughly 100 times faster than most homes in America today.

ShoreTel Acquires M5 Networks for $160 Million

ShoreTel Inc. (Nasdaq:SHOR), a provider of IP phone systems with fully integrated unified communications (UC), announced it has signed a definitive agreement to acquire M5 Networks, a provider of hosted Unified Communications.

Under the terms of the definitive agreement, M5 shareholders will receive approximately $84 million in cash and 9.5 million shares of ShoreTel stock, which equates to a total of $146.3 million in initial consideration based on a ShoreTel’s average stock price over the prior 30 trading days. In addition, M5 shareholders may receive additional contingent consideration of up to $13.7 million. The contingent payments are payable over the two years after closing and are based upon the achievement of certain revenue performance milestones for the year ended Dec. 31, 2012.

The acquisition of privately held M5 enables ShoreTel to expand its solutions into the cloud and reach a large and growing market segment of customers that are looking to deploy IP communications through a hosted model.

M5 pioneered hosted UC in 2000 and today provides more than 2,000 companies with enterprise-grade communications on a subscription basis.

Telcos Take to the Cloud in 2011

Telcos were the largest and most frequent buyers in the very active data center and cloud services M&A scene in 2011. Collectively, a broad range of communications providers spent over $8.2b to purchase data centers and managed service providers during the year. For telcos, these acquisitions offer the potential to diversify revenue streams and to attract more business customers in service areas that are projected to grow in the coming years. Stage 2 Networks Acquires Consolidated Technologies' Hosted VoIP Business

Stage 2 Networks, a cloud communications provider in the New York metropolitan area with a portfolio of hosted voice and data services, announced that it has acquired the hosted VoIP business division of Consolidated Technologies, Inc. (CTI), a converged technologies company and Avaya gold partner.

The acquisition allows for both companies to focus on their core areas of strength with Stage 2 Networks expanding its hosted VoIP enterprise and CTI strengthening its system integration business.
